This presentation considers the law relating to a valid termination by reference to a few common situations encountered in a typical construction setting - abandonment, defective work and delay, in particular where time is said to be of the essence. The right to terminate in accordance with the terms of the contract will be reviewed and whether there are any implied limitations on such right and also what requirements apply to the manner in which the right to terminate is exercised. There will be an analysis on whether there are real differences between these two modes or whether it is merely a matter of form; and if there are substantive differences, whether these are mutually exclusive or capable of being reconciled and co-existing. Finally, whether they can properly be exercised in the alternative.
